Go1 Customer Trial Terms 

1. TRIAL TERMS.

These Trial Terms are a legal agreement between Go1 Pty Ltd and/or its Affiliates, collectively or individually, “Go1”, and the entity accessing or using the Trial (“Customer”). These Trial Terms incorporate and are supplemented by the Go1 Customer Terms available at www.go1.com/terms/customer-terms, as applicable, together with these Trial Terms, the “Agreement”. By accessing or using the Trial Program or any Go1 Services made available under it, Customer agrees to be bound by the Agreement. The individual accepting these Trial Terms represents and warrants that they have authority to bind Customer to the Agreement. If Customer does not agree to the Agreement, or if the individual accepting these Trial Terms does not have authority to bind Customer, Customer and its Users must not access or use, and Customer must not permit any person to access or use, the Trial Program or any Go1 Services made available under it. If there is any conflict or inconsistency between these Trial Terms, any applicable Order Form, and the Go1 Customer Terms, these Trial Terms control with respect to the Trial and any Go1 Services made available under the Trial Program. 

2. TRIAL; ACCEPTANCE; TERM.

These Trial Terms apply to Customer’s access to and use of the Trial and Trial Program, and to Go1’s provision of the Trial, the Trial Program, and any Go1 Services made available under the Trial Program. 

These Trial Terms are effective from the first time Customer or any of its Users access the Trial (“Trial Effective Date”). Customer is bound by these Trial Terms regardless of whether access is provisioned directly by Go1 or through an authorized Go1 distribution partner. Where access is provisioned through a partner, Customer’s acceptance may occur by click-through, in-product acceptance, electronic presentation of these Trial Terms, partner workflow, access through the partner’s integration, or any other reasonable means. Customer’s access to or use of the Trial constitutes binding acceptance of these Trial Terms. 

Unless earlier terminated by Go1, the Trial begins on the Trial Effective Date and continues for fourteen days (“Trial Term”). Go1 may, in its sole discretion, extend the Trial one time for an additional fourteen days upon Customer’s written request, including where applicable through an authorized Go1 distribution partner or partner integration. No further extension is permitted without Go1’s prior written consent. 

Go1 may suspend, limit, modify, discontinue, or terminate the Trial or any Go1 Services at any time, with or without notice, in its sole discretion. 

3. LIMITED TRIAL LICENSE.

During the Trial Term, Go1 grants Customer a limited, revocable, non-exclusive, non-transferable, non-assignable, non-sublicensable right to access and use the Trial solely for Customer’s internal evaluation of the Go1 Services and subject to these Trial Terms (“Limited Trial License”). The Limited Trial License does not permit production use, commercial use, resale, external use, or use for the benefit of any third party. 

Unless otherwise expressly authorized in writing by Go1 or set out in an applicable Order Form, trial activation, or authorized partner integration, the Trial is limited to a maximum of five Users per Customer portal. Customer is responsible for all access to and use of the Trial by its Users and for their compliance with these Trial Terms. Any breach of these Trial Terms by a User is deemed a breach by Customer. 

The Limited Trial License terminates immediately upon expiration or earlier termination of the Trial Term. Upon termination or expiration, Customer must promptly cease all access to and use of the Trial and Go1 Services, and must ensure that any third party providing Customer with access to the Go1 Services on Customer’s behalf promptly deactivates all Users and discontinues any further provisioning of the Go1 Services. 

Any access to or use of the Go1 Services after the Trial Term without an executed agreement for paid Go1 products or services (“Paid Services”) is unauthorized. Go1 may invoice Customer for such unauthorized use at Go1’s then-current list price for the corresponding Paid Services, without limiting any other rights or remedies available to Go1 at law, in equity, or under these Trial Terms. 

4. RESTRICTIONS.

Customer must not, and must not permit any User or third party to: 

 (a) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, ideas, algorithms, or underlying technology of the Go1 Services, except to the extent such restriction is prohibited by applicable law; 

 (b) use the Trial or Go1 Services to develop, train, test, validate, improve, or support any product or service that competes with the Go1 Services; 

 (c) conduct benchmarking, performance testing, vulnerability testing, competitive analysis, or other testing of the Go1 Services, except with Go1’s prior written consent; 

 (d) publish or disclose any performance, availability, benchmarking, security, or testing data relating to the Go1 Services without Go1’s prior written consent; 

 (e) resell, sublicense, rent, lease, distribute, provide service bureau access to, or otherwise make the Trial or Go1 Services available to any person other than Users accessing the Trial for Customer’s internal evaluation; 

 (f) circumvent or attempt to circumvent any user, content, feature, usage, technical, security, or access limitation imposed by Go1 or any authorized Go1 distribution partner; 

 (g) use the Trial or Go1 Services for production, commercial, unlawful, harmful, or high-risk purposes; or 

 (h) access or use the Trial or Go1 Services in a manner that exceeds the scope of the Limited Trial License or violates these Trial Terms. 

5. NO OBLIGATION TO PROCEED.

Go1 is not obligated to continue providing the Trial, make any Go1 Services generally available, enter into any agreement for Paid Services, provide any particular pricing or commercial terms, or develop, release, maintain, or support any feature, functionality, integration, or service. 

6. AVAILABILITY.

Go1 does not provide any service level agreement, availability commitment, uptime commitment, support commitment, or other performance guarantee for the Trial. Go1 does not warrant or guarantee that the Trial or any Go1 Services will be available, uninterrupted, secure, or error-free. 

7. INTELLECTUAL PROPRIETARY RIGHTS.

As between the Parties, Go1, its Affiliates, and their respective third-party licensors retain all right, title, and interest in and to the Go1 Services, all content and intellectual property therein, and all technology, materials, data, documentation, improvements, modifications, derivatives, and other materials made available by or on behalf of Go1 in connection with the Trial, excluding Customer Data (“Go1 Property”). Except for the Limited Trial License expressly granted under these Trial Terms, no rights, title, interest, or ownership in or to any Go1 Property are transferred or granted to Customer, its Affiliates, Users, or any of their employees, contractors, agents, or representatives, whether by implication, estoppel, waiver, or otherwise. 

8. FEEDBACK.

Customer and its Users may choose to provide suggestions, comments, ideas, or other feedback about the Trial or Go1 Services (“Feedback”), but are not required to do so. Customer grants Go1 and its Affiliates a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, transferable, non-exclusive license to use, reproduce, modify, distribute, and otherwise exploit any Feedback for any purpose, without attribution, restriction, or compensation to Customer or any User. Customer represents and warrants that it has all rights necessary to provide the Feedback and grant the license in this Section. 

9. CONFIDENTIALITY.

Customer must keep confidential and not disclose any non-public information made available by or on behalf of Go1 in connection with the Trial, including any non-public features, functionality, documentation, pricing, roadmap information, security information, integrations, or performance information, except as permitted under the Agreement or with Go1’s prior written consent. 

10. CUSTOMER DATA AND DELETION.

Customer is solely responsible for all data, content, and information uploaded to, generated within, or processed through the Trial by or on behalf of Customer, its Affiliates, or Users (“Customer Data”). Customer acknowledges that the Trial is not intended for production use and must not be used to store or process personal data, sensitive data, regulated data, or business-critical data. Customer is solely responsible for any personal data, sensitive data, regulated data, or business-critical data uploaded to or processed through the Trial in breach of these Trial Terms, and Go1 has no liability for any loss, deletion, disclosure, or processing of such data except to the extent liability cannot be excluded under applicable law. Go1 has no obligation to retain Customer Data after expiry or earlier termination of the Trial Term and may delete Customer Data at any time on or after the end of the Trial Term without notice. Customer is solely responsible for exporting any Customer Data it wishes to retain before the Trial Term ends. If Customer converts the Trial to Paid Services on the same Go1 portal, any retention or migration of Customer Data will be subject to the applicable Paid Services agreement and Go1’s product capabilities at the time of conversion. 

11. NO REPEAT OR STACKED TRIALS.

Customer must not, directly or indirectly, including through its Affiliates, Users, any third party, or any Go1 distribution partner, enroll in, request, access, or accept more than one Trial of substantially the same Go1 Services within any twelve-month period without Go1’s prior written consent. Any Trial obtained or used in violation of this Section may, at Go1’s sole discretion, be suspended, terminated, deemed void, or converted to a Paid Services subscription at Go1’s then-current list price. 

12. NO WARRANTIES OR LIABILITY.

Any statements, representations, communications, public statements, website information, or other materials relating to the Go1 Services, Paid Services, or the Trial do not form part of, and do not modify, these Trial Terms, the Agreement, or any terms applicable to the Go1 Services, and do not create any express or implied warranty. 

The Trial Program is provided as a convenience on an “as is” and “as available” basis. To the maximum extent permitted by law, Go1, its Affiliates, and their respective third-party licensors disclaim all representations, warranties, conditions, indemnities, and guarantees of any kind, whether express, implied, statutory, or otherwise, relating to the Trial, including any warranties or conditions of availability, merchantability, fitness for a particular purpose, accuracy, non-infringement, title, data loss, absence of malicious elements, quality, security, particular results, error-free or uninterrupted operation, or third-party content. 

To the maximum extent permitted by law, Go1 and its Affiliates will have no liability of any kind arising out of or relating to the Trial, including for any consequential, indirect, special, incidental, punitive, or exemplary loss or damages, whether in contract, tort, including negligence, strict liability, or any other theory of liability, even if advised of the possibility of such damages or if any remedy fails of its essential purpose. If any exclusion of liability is not enforceable under applicable law, Go1’s total aggregate liability arising out of or relating to the Trial during the Trial Term will not exceed US $1,000. 

Customer must not use the Trial or Go1 Services in violation of applicable laws. Customer is fully responsible and liable to Go1 for any damages, losses, claims, or liabilities arising from Customer’s or its Users’ access to or use of the Trial or Go1 Services. Customer acknowledges that any Customer Data entered into a Trial account may be permanently lost upon expiry or earlier termination of the Trial. 

Any indemnification obligations of Go1 under the Agreement or any other agreement between Go1 and Customer do not apply to the Trial and are expressly disclaimed. 

13. SURVIVAL.

The following provisions shall survive expiration or termination of the Trial Term and these Trial Terms: PROPRIETARY RIGHTS; FEEDBACK; CUSTOMER DATA AND DELETION; NO REPEAT OR STACKED TRIALS; NO WARRANTIES OR LIABILITY; and any other provision that by its nature is intended to survive, together with any payment, accrued rights, or remedies arising prior to such expiration or termination. 

14. MODIFICATIONS.

Go1 may modify these Trial Terms at any time by posting an updated version at www.go1.com/terms/trial-terms or by otherwise providing notice to Customer. Unless otherwise stated by Go1, modified Trial Terms are effective when posted or notified and apply to all Trials, including Trials then in progress. Customer’s continued access to or use of the Trial or Go1 Services after the modified Trial Terms are posted or notified constitutes acceptance of the modified Trial Terms. If Customer does not agree to the modified Trial Terms, Customer’s sole and exclusive remedy is to stop using the Trial and the Go1 Services. 

15. DEFINITIONS.

Capitalized terms used but not defined in these Trial Terms have the meanings given in the Go1 Customer Terms. 

Trial” means Customer’s access to or use of any Go1 Services made available under the Trial Program. 

Trial Program” means Go1’s program for making certain Go1 Services available to Customer on a complimentary, audit, demo, free, trial, evaluation, proof-of-concept, or similar basis, whether directly by Go1 or through an authorized Go1 distribution partner. 

User” means any employee, contractor, agent, representative, Affiliate, non-human user, or other person or system that accesses the Trial or Go1 Services by or on behalf of Customer.
