Go1Pay User Terms
THESE GO1PAY PRODUCT SPECIFIC TERMS OF USE GOVERN YOUR USE OF GO1PAY SERVICES AND ARE IN ADDITION TO: (I) THE TERMS OF YOUR CUSTOMER AGREEMENT WITH GO1, (II) STRIPE USER TERMS; AND (III) ANY OTHER DOCUMENT OR TERMS GOVERNING YOUR USE OF GO1 PRODUCTS AND SERVICES, AVAILABLE AT WWW.GO1.COM (COLLECTIVELY “GO1PAY USER TERMS”). PLEASE ENSURE THAT YOU READ THESE GO1PAY USER TERMS CAREFULLY BEFORE USING GO1PAY SERVICES.
YOU MAY NOT USE GO1PAY SERVICES IF YOU DO NOT ACCEPT THESE GO1PAY USER TERMS. YOU UNDERSTAND AND AGREE THAT WE WILL TREAT YOUR USE OF GO1PAY SERVICES AS ACCEPTANCE OF, AND YOUR AGREEMENT TO BE LEGALLY BOUND BY, THESE GO1PAY USER TERMS FROM THAT POINT ONWARDS.
WE MAY NEED TO MAKE CHANGES TO THESE TERMS FROM TIME TO TIME TO REFLECT UPDATES TO GO1PAY SERVICES. WE WILL NOTIFY YOU OF ANY MATERIAL CHANGES BY POSTING A NOTICE ON THE GO1 SITE OR IN THE PRODUCT VISIBLE TO YOUR ACCOUNT ADMIN.
Where there is any inconsistency between these Go1Pay User Terms and any of the other terms comprising an agreement between us, these User Terms shall prevail to the extent of the inconsistency.
Any version of these Go1Pay User Terms in a language other than English is provided for convenience only and you understand and agree that the English language version will prevail where there is conflict.
1. Definitions
In these Go1Pay User Terms, references to:
(a) “Account Holder” any customer to whom Go1 provides Go1Pay Services in accordance with these User Terms;
(b) “Authorised Card User(s)” means, where permitted under the Card Program, any person who has a contractual relationship with the Account Holder (i.e. director, employee, contractor, member of staff, or otherwise associated) and has access to a Card and is authorized by Account Holder to make payments with a Card on behalf or on instruction of the Account Holder and are considered “End Users” for purposes of the Customer Terms;
(c) “Card” means virtual card issued by the Card Services Provider to the Account Holder for the purpose of issuing payments from the Card Account;
(d) “Card Account” the electronic money account administered by the Card Services Provider in the name of the Account Holder;
(e) “Card Program” a commercial card program offered by Go1 to Account Holders and managed by the Card Services Provider, which enables Account Holders and their Authorised Card User(s) to purchase eligible goods/services from Card Account using Card in accordance with these Go1Pay User Terms;
(f) “Card Services Provider” means Stripe Technology Europe Limited (Ireland), a regulated electronic money institution, authorized and regulated by the Central Bank of Ireland, whose registered office address is at 3 Dublin Landings, North Wall Quay, Dublin 1, Dublin, IE-D, D01C 4E0, IE, or any of its affiliates (as appropriate);
(g) “Go1Card Services” means a collective set of services made available to any Account Holder and its Authorised Card Users in connection with the Card Program requested by such Account Holder and are considered “Services” for the purposes of the Customer Terms;
(h) "Go1Pay Services” has the meaning set out in paragraph 2.2of these Go1Pay User Terms;
(i) “KYC Information” means Know-Your-Customer and anti-money laundering related information requested by Go1 and/or the Card Services Provider relative to any Account Holder and/or their respective Authorised Card Users, as applicable;
(j) “Parameters” has the meaning set out in paragraph 2.4 of these Go1Pay User Terms;
(k) “Purchases” has the meaning set out in paragraph 2.3 of these Go1Pay User Terms;
(l) “Stripe User Terms” means the terms of use specified by the Card Services Provider to apply to the Go1Pay Services, which will be presented to you and require your acceptance before you are able to access the services; and
(m) “Territory” means the United Kingdom, the United States of America and members of the European Union.
Any capitalised terms not defined herein shall have the meaning given to them in the Go1 Customer Terms available at www.go1.com/terms/customer-terms.
2. Information about Go1 Pay Services and Card Program
2.1 The terms “You,” “you,” “Your,” and “your” refer to any Go1 customer and their end users with access to Go1Pay Services.
2.2 Go1Pay Services is a subset of Go1Card Services, which will be made available to you via our platform available at www.go1.com, the Website, App or other means as may be agreed with you from time to time (“Go1Pay Services”).
2.3 Under Go1Card Services, you will be offered access to a Card Program, whereby, subject to your compliance with these Go1Pay User Terms, the Card Services Provider will issue your Card(s) and administer your Card Account(s) to enable your Authorised Card User(s) to lawfully process payments to purchase eligible goods and services (“Purchases”) from their respective Card Account using the Card.
2.4 The Purchases may be chosen by the Authorised Card Users subject to your preferred spending limit for each Authorised Card User ("Parameters").
2.5 You acknowledge that this is a corporate Card Program, and it is available exclusively for business purposes and not for any personal, family or household use. You shall not use Go1Pay Services if you are:
(a) not a legal entity, body corporate or a business;
(b) not duly registered and validly existing, in good standing under the laws of the Territory, and maintain your corporate seat in the Territory;
(c) either barred or otherwise legally prohibited from receiving or using Go1Pay Services under the laws of the country in which you are resident or from which you or your Authorized Card User(s) access or use Go1Pay Services; or
(d) unable to ensure that you and your Authorised Card Users do not use the Card Program, and any product, device, account or payment instrument offered in connection with Go1Pay Services for any purpose other than as permitted under these Go1Pay User Terms.
(e) You further acknowledge and agree that neither Go1 nor the Card Services Provider has a direct relationship with your Authorized Card Users, and that you are fully responsible for their compliance with these Go1Pay User Terms.
3. Card Program - roles and responsibilities
3.1 Go1 will be the first point of contact for queries and support requests you may have regarding the Card Program and/or Go1Pay Services, your application for a Card, applicable fees, customer support and the way your Card Account is set up. You hereby acknowledge and agree that Go1 is not regulated under any financial laws and regulations, and, as such, its involvement in the Card Program will strictly be limited to matters not requiring approval, consent or permission of any financial regulator worldwide.
3.2 Any part of Go1Card Services that may be regulated, or deemed to be regulated, or requiring special oversight by the relevant authorities under financial laws will be provided by the Card Services Provider in accordance with Stripe User Terms.
4. Use of the Card and Card Account
4.1 The Card is not a credit card, and all use is limited to the amount pre-loaded on the Card, the Parameters and any other limits referred to in these Go1Pay User Terms.
4.2 If approved by the Card Services Provider, a Card will be created, issued and shown on your online user interface. You will be able to use that interface in order to access information about your Card and Card Account as well as to confirm your instructions.
4.3 The Card may be used by an Authorised Card User when the Card symbol is displayed online, provided there are sufficient funds available on the Card, including any applicable fees (subject to local laws and regulations in the country of use). Each time the Card is used, the value of the Purchases plus applicable fees will be debited from the Card.
4.4 The Card is only for use by the Authorised Card User and expires on the date on the front of the Card. The Card cannot be used after it has expired.
4.5 You are responsible for Authorised Card User(s)’ compliance with all laws and regulations (including any foreign exchange controls) in respect of the Card, in the country of purchase and/or use.
4.6 You agree to promptly provide us with any information as may be necessary or required by us and/or the Card Services Provider for the purposes of the Go1Pay Services.
4.7 The Card remains at all times property of the Card Services Provider. You will be responsible under these Go1Pay User Terms in respect of all card payments you authorise on your Card Account including all charges and other amounts incurred by us or by the Card Services Provider. You warrant, represent, and undertake that you shall ensure that all Authorised Card Users understand the obligations regarding the use of the Card and have agreed to comply with these Go1Pay User Terms.
4.8 There is no interest payable to us or to you on the balance of the Card and the balance does not amount to a deposit with the Card Services Provider. The Card cannot be redeemed for cash; it is not for resale and may not be transferred or assigned.
5. Authorising transactions and available funds
5.1 It is the responsibility of an Authorised Card User to check that sufficient funds are available on the Card. If there are insufficient funds on the Card to make a card payment, the Card may be declined.
5.2 As part of your Card Program, you may choose to provide authorisation for each card payment, which the Card Services Provider may use to check it is genuine by, where applicable: (a) using a security code personal to the Account Holder, (b) signing a sales voucher, (c) providing the Card details and/or providing any other details personal to you and/or the Card.
5.3 Once the card payment has been authorised by you, it cannot be revoked and the time of receipt of a transaction order is when the Card Services Provider receives it.
5.4 The Authorised Card User may redeem or spend the balance of any unspent funds on the Card at any time prior to its expiry date. Once a purchase on a Card has been authorised, it lasts for 30 days. Following the Card expiry, any unspent funds will be returned to your Card Account.
5.5 The ability of Authorised Card Users to use or access the Go1Pay Services may occasionally be interrupted, for example, if the Card Services Provider needs to carry out maintenance on the systems, software and sites.
6. Card Program Provider’s KYC
6.1 You will not be able to participate in the Card Program until you have provided all KYC Information requested by the Card Services Provider, who will then determine your eligibility to participate. Your KYC Information may include, without limitation, your registration details, contacts, information about your ultimate beneficial owners and directors, information relating to your Authorised Card Users and other information required by us and/or the Card Services Provider to lawfully identify and verify you.
6.2 You shall be responsible for ensuring that all KYC Information you provide is correct, accurate and up-to-date at the date of it being provided. You must notify us of any relevant changes in your KYC Information without undue delay.
6.3 You acknowledge and agree that if KYC screening is not completed or approved, we and/or the Card Services Provider have the right, in our sole and absolute discretion, to decline any application for registration, without giving a reason. If your registration is approved, you will receive a notification from us. We may re-review KYC Information periodically and may reject any Account Holder who is not meeting KYC requirements at any time. Additionally, the Card Services Provider may conduct KYC screening on Account Holder’s identity and background by contacting and consulting relevant screening tools, registries, and governmental authorities. You are hereby granting us permission to share your KYC Information with the Card Services Provider for KYC screening.
6.4 Unless and to the extent allowed under Applicable Law, we are under no obligation to grant access or continue to provide Go1Pay Services to any Account Holder not eligible or ceasing to have eligibility to participate in the Card Program.
7. Prohibited Use
7.1 You shall be responsible for the proper use of the Go1Pay Services by you and any of your Authorised Card Users. Our Card Services Provider may refuse a transaction using the Card and/or we may suspend and/or block (permanently or temporarily) the use of the Go1Pay Services if you or your Authorised User(s):
(a) acquire a Purchase that is not supported by your Card Program;
(b) use incorrect security credentials relating to the Card when being prompted to provide such details;
(c) payment instructions do not contain all the information necessary to authorise the Card transaction;
(d) do not have sufficient funds on your Card Account to cover card transaction;
(e) card transaction is restricted or prohibited by the Parameters or other restrictions set out in these Go1Pay User Terms;
(f) breach these Go1Pay User Terms (or Stripe User Terms) in a way that we or the Card Services Provider reasonably believe justifies suspending or blocking your Card / Card Account; or
(g) use the Card in a way that we or the Card Services Provider have reasonable grounds to believe was used fraudulently, illegally or not in accordance with these Go1Pay User Terms.
7.2 You must inform us, and provide all reasonable details, of the occurrence of any of the above events as soon as you become aware.
7.3 Where commercially practicable and in compliance with law, we will notify you if your Go1Pay Service will be suspended or terminated.
8. Card Security
8.1 The Authorised Card User must keep the Card and any security details relating to the Card safe by taking appropriate measures, including, but not limited to, the following:
(a) never allowing anyone else to use the Card or sharing security details with anyone;
(b) using the Card on secure internet sites, only;
(c) shredding any personal information or security details relating to the Card that could be used by an identity thief; and
(d) reporting thefts or any potential attempts to commit identity fraud relating to the Card to us as soon as they become aware.
8.2 You undertake, represent and warrant to us that the transactions that the Authorised Card User will undertake using the Card shall at all times comply with all applicable laws.
8.3 A receipt will be generated for every transaction completed with the Card. The Authorised Card User must ensure that they upload and retain their receipts to verify their transactions.
8.4 In the event your Card or security credentials are lost, stolen, compromised or used without your permission, you must immediately notify us and/or block your Card in order to prevent further loss or damage.
8.5 We will be required to confirm details of any misuse to the Card Services Provider in writing, and we may require you to provide relevant information and assistance if we suspect that the Go1Pay Services are being or have been misused.
9. Fees and charges
9.1 Fees payable by you in respect of the Go1Pay Services shall be as set out in the relevant Order Form and shall be exclusive of any value added tax or other applicable sales tax, which will be added to the sum in question.
9.2 In addition, and depending on the type of Card, you may dispute a specific Card transaction and request a chargeback, for example if you have not received your Purchase. In such case, there may be dispute costs charged to you depending on the outcome of the dispute.
9.3 Please note that the Card Services Provider reserves the right to set-off any amounts that you may owe in connection with the use of Go1Pay Services. The Card Services Provider may charge such amounts against the available funds on any of your Card Accounts.
10. Support Services
10.1 During the license term, we may provide support and troubleshooting services in respect of the Go1Pay Services ("Support Services") including a question-and-answer section to help you and your Authorised Users set up their account. You acknowledge and agree that our provision of the Support Services shall be conditional upon your promptly providing all reasonable assistance, information and decision-making as reasonably required by us from time to time, which you agree to provide at our reasonable request.
10.2 We will have no obligation to provide Support Services where faults arise from misuse or incorrect use of the Go1 Pay Services, use of the Go1 Pay Services in combination with equipment or software not compatible with the use of our services, relocation or installation of the Go1Pay Services by anyone other than us or on our behalf, operator error and/or otherwise at our reasonable justification.
10.3 You shall be responsible for ensuring that you have the equipment of appropriate specification and Internet connection to enable you to access the Go1 Pay Services. You acknowledge that you are responsible for all charges for Internet access (including mobile data usage) charged by your Internet provider.
10.4 We cannot guarantee the continuous, uninterrupted or error-free operability of the Go1 Pay Services. There may be times when certain features, parts or content of the Go1 Pay Services become unavailable (whether on a scheduled or unscheduled basis) or are modified, suspended or withdrawn by us, in our sole discretion, without notice to you. You agree that we will not be liable to you or to any third party for any unavailability, modification, suspension or withdrawal of the Go1 Pay Services, or any features, parts or content of the Go1 Pay Services.
10.5 We may, from time to time, with or without prior notice, temporarily suspend the operation of any Go1 Pay Services (in whole or in part) for repair or maintenance work or in order to update or upgrade any contents, features or functionality.
10.6 We may have to suspend the Services to:
(a) deal with technical problems or make minor technical changes; or
(b) update the Go1Pay Services to reflect changes in relevant laws and regulatory requirements.
10.7 We make no warranty that the Go1 Pay Services will meet your requirements or be available on an uninterrupted, secure or error-free basis. We make no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness or reliability of any recommendation.
11. Data protection compliance and data processing under Applicable Data Protection Laws
If Applicable Data Protection Laws apply to any data used as part of the Go1 Pay Services, then the relevant provisions of the Go1 Data Processing Agreement shall apply, and such provisions are incorporated into these Go1Pay User Terms by reference.
12. Termination; Effect of Termination
12.1 Your access to Go1Pay Services will terminate automatically in the event your customer relationship with us has been terminated or suspended for any reason.
12.2 Terminating this agreement does not free you from your obligation to pay any outstanding fees or charges applicable to your participation in the Card Program prior to the date of termination, even if those fees or charges occur after you have terminated the agreement, for example in case of costs relating to refunds or chargebacks.
12.3 We may suspend and/or terminate any Go1Pay Service and/or your use of your Card Account immediately and without notice in the event that:
(a) the Card Program is suspended or no longer supported by the Card Services Provider;
(b) if legal or regulatory requirements prevent the Card Services Provider from making available the Card and/or Card Account or require further KYC checks, including, without limitation, if a third-party scheme (e.g. Visa or Mastercard) prevents the Card Services Provider from processing card payments or making available the Card;
(c) you have breached any provision in these Go1Pay User Terms in any way that we reasonably believe justifies terminating your use of Go1Pay Services;
(d) we have reasonable grounds to believe that Go1 Pay Services are used fraudulently or illegally by yourself or an Authorised Card User;
(e) the relationship between us and the Card Services Provider has been terminated or suspended for any reason;
(f) you become insolvent or make composition with your creditors, or are
subject to any event or proceedings which are equivalent or substantially
similar under any applicable jurisdiction;
(g) we have asked you for relevant KYC Information and you have not given us that information in the manner required by these Go1Pay User Terms; or
(h) if the Card is not used for a period of 12 months or if your Card Account is terminated.
12.4 We may also terminate the Go1Pay Services for convenience at any time by providing you with 30-day prior written notice of termination.
12.5 Upon termination of any Go1Pay Service or your account, for any reason:
(a) all rights granted to you under these Go1Pay User Terms will immediately cease;
(b) you must promptly discontinue all use of the Go1Pay Services; and
(c) you must pay us all outstanding fees and amounts that you owe us.
(d) You must disable your Card Accounts within 5 days of the date of termination of your license pursuant to these Go1Pay User Terms. If your license to utilize the Go1Pay Services has expired, all obligations on you and your Authorized Users survive unless and until you disable your Card Account. We will not be responsible for any liabilities arising out of your failure to disable Card Accounts. You can do this at any time by contacting Go1 Support via your user interface.
13. Foreign currency transactions
If permitted under the Card Program, the Card may be used for card payments which are not in the currency of the Card. If you make a card payment in a currency other than the currency of the Card, the Card Services Provider will convert the amount into the currency of the Card at the wholesale market rate or any rate that a government may set. Go1 may charge a service charge (commission) for this service. Exchange rates may change, and the exchange rate which applies on the date that you make your card payment may not be the same as the exchange rate we use on the date that we convert the card payment charge and deduct the service charge from your balance. The exchange rate applied will include this service charge. You agree to opt-out of any electronic communication related to individual card payments containing information on currency conversion charges.
